(The Box Studios LLC) and non-profit educational activities (501(c)(3)
Technical Signal Craft Guild) to ensure complete Conflict of Interest (COI)
exemption and compliance under IRS guidelines.

2. FACILITY & UTILITY REIMBURSEMENT
The 501(c)(3) Technical Signal Craft Guild leases bench space inside
7367 Chef Menteur Highway at a fixed monthly fair-market rate plus pro-rata
reimbursement for shared utilities. Zero commercial telecom equipment or
proprietary data enters Guild spaces.

3. SEPARATION OF ASSETS
All commercial studio gear remains property of The Box Studios LLC. All
bench-soldering tools, educational training kits, and donated interconnect
materials remain property of the 501(c)(3) Guild.
